1. Acceptance of Terms

By accessing or using the HZXingyuTrade website at hzxingyutrade.com, our mobile applications published on the Apple App Store, Google Play Store, Huawei AppGallery, Samsung Galaxy Store, Amazon Appstore, and other distribution platforms, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and HZXingyuTrade ("Company," "we," "us," or "our"). Please read them carefully.

2. Definitions

• "Services" means all products, websites, applications, content, and features provided by HZXingyuTrade.
• "User" or "you" means any individual who accesses or uses the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials.

• "App Store" means the Apple App Store, Google Play Store, or any third-party distribution platform.

3. Eligibility and Age Restrictions

• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Upload or transmit viruses, malware, or any other harmful code.
• Spam, phish, pharm, pretext, spider, crawl, or scrape.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems or networks.
• Collect or harvest any personally identifiable information from the Services.
• Use the Services for any illegal or unauthorized purpose.
• Engage in any activity that could damage, disable, overburden, or impair the Services.

7. User-Generated Content

Our Services may allow you to create, upload, or submit content (User Content). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purpose of operating and providing the Services to you.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content.
• The User Content does not infringe any third partys intellectual property rights, privacy rights, or other rights.
• The User Content does not contain any unlawful, harmful, or offensive material.

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, but we are not obligated to do so.

8. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof, are the exclusive property of HZXingyuTrade or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The HZXingyuTrade name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HZXingyuTrade. You may not use such marks without the prior written permission of HZXingyuTrade. All other names, logos, product and service names, designs, and slogans on the Services are the property of their respective owners.

9. In-App Purchases and Subscriptions

Some of our Services may offer in-app purchases or subscriptions. By making a purchase, you agree to:

• Pay all applicable fees and taxes.
• Provide accurate billing information.
• Authorize us or the App Store to charge your payment method.

Subscription terms:

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• You can manage and cancel subscriptions through your App Store account settings.
• Free trials may convert to paid subscriptions unless cancelled before the trial ends.
• Refunds are subject to the App Store refund policy.

Pricing and availability are subject to change without notice.

10. Advertising

Some of our mobile applications display advertisements through third-party advertising networks, including Google AdMob, Meta Audience Network, Unity Ads, AppLovin, and others. By using our ad-supported Services, you acknowledge that:

• Ads are necessary to support free access to our Apps.
• We may display personalized ads with your consent.
• You can opt out of personalized advertising through your device settings.
• Ad networks may use device identifiers and other data as described in our Privacy Policy.
• We do not endorse any products or services advertised through our Apps.

11. App Store Specific Terms

11.1 Apple App Store

For Apps downloaded from the Apple App Store, the following additional terms apply:

• These Terms are between you and HZXingyuTrade only, not with Apple Inc.
• Apple has no obligation to provide any maintenance or support services for the Apps.
• In the event of any failure of any App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.
• Apple is not responsible for any product or other claims, including but not limited to product liability claims, legal compliance, or regulatory requirements.
• You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and that Apple has the right to enforce these Terms against you.
• You must comply with all applicable third-party terms when using the Apps.

11.2 Google Play Store

For Apps downloaded from Google Play, the following additional terms apply:

• These Terms are between you and HZXingyuTrade, not with Google LLC.
• Google is not responsible for the Apps or any content therein.
• You acknowledge that Google and its subsidiaries are third-party beneficiaries of these Terms.

11.3 Other App Stores

Similar third-party beneficiary terms apply for Apps downloaded from Huawei AppGallery, Samsung Galaxy Store, Amazon Appstore, and other distribution platforms.

12. Third-Party Services

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by HZXingyuTrade. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party website you visit.

13. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

HZXingyuTrade does not warrant that:

• The Services will be uninterrupted, secure, or free of errors, bugs, viruses, or other harmful components.
• The results obtained from the use of the Services will be accurate or reliable.
• Any errors in the Services will be corrected.
• The Services will meet your specific requirements.

You acknowledge that any reliance on the Services is at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HZXINGYUTRADE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICES.
• ANY CONTENT OBTAINED FROM THE SERVICES.
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL HZXINGYUTRADES TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO HZXINGYUTRADE IN THE LAST TWELVE (12) MONTHS, OR (B) ONE HUNDRED POUNDS (£100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless HZXingyuTrade and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, suppliers, and parent companies from and against any any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorneys attorneys fees) arising from:

• Your use of and access to the Services.
• Your violation of any provision of these Terms.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.
• Any claim that your User Content caused damage to a third party.

16. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your right to use the Services will cease immediately.
• We may delete your account data and User Content.
• Provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

You may terminate and any time by discontinuing use of the Services and, where applicable, deleting our Apps and your account.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

17.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Sheffield, United Kingdom, for the resolution of any disputes arising out of or relating to these Terms or the Services. However, nothing in these Terms shall prevent us from seeking injunctive or other equitable relief in any court of competent jurisdiction.

17.3 For EU/EEA/UK Consumers

Notwithstanding Section 17.2, if you are a consumer based in the European Union, European Economic Area, or United Kingdom, you may bring proceedings in either the courts of your country of residence or the courts of England and Wales. Nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.

17.4 For US Consumers

Some US states have specific consumer protection laws that may apply regardless of choice of law. This Section does not waive any such rights.

17.5 Dispute Resolution (Optional)

Before initiating formal legal proceedings, we encourage you to contact us at contact@hzxingyutrade.com to seek an informal resolution. We will attempt to resolve disputes informally within 30 days.

For consumers in the EU, you may also use the European Commissions Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

18. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
